Governing your access and use of The .Jobs Universe Network:

Introduction:
Please read the following information carefully. It contains the terms and conditions governing your access and use of The .Jobs Universe Network (hereinafter “the Universe Network" or “Network”) website. If you do not accept these Terms and Conditions (hereinafter "Terms"), or you do not meet or comply with their provisions and parameters, you may not use the Universe Network. If you are an employer using the Universe Network, you may have entered into a separate agreement with DirectEmployers Association, Inc. (hereinafter "the Association"), the non-profit employer organization that manages the Universe Network, in which case these Terms are incorporated by reference into that agreement

Acceptance of Terms:
The Association provides the Universe Network website subject to the following Terms. Said Terms may be updated by the Association from time to time without notice to you. You can review the most current version of the Terms at http://universe.jobs/terms. In addition, when using the Association’s services, you as well as the Association, shall be subject to any posted or un-posted guidelines or rules applicable to such services which may be developed from time to time. All such guidelines or rules, including all "SPAM" policies, are hereby incorporated by reference into the Terms. The Association may also offer other services that are governed by different terms of service by other third-party websites.

Binding Agreement:
These current Terms (and as they may be amended from time to time by the Association) form a binding agreement between you and the Association. Your access to or use of the Universe Network indicates your acceptance of these Terms. Further, you are agreeing to use the Universe Network at your own risk.

Description of Service:
The Network is an Internet-based service operated by the Association in an Alliance with Employ Media LLC under authority provided by the Internet Corporation for Assigned Names and Numbers. The Universe Network provides worldwide online networking opportunities. You understand and agree that the service may include certain communications from the Association, such as administrative messages and service announcements, and such communications are considered part of the Association’s service and you will not be able to opt out of receiving these communications. Unless explicitly stated otherwise, any new features that augment or enhance the current services, provided by the Association, including the release of new Universe properties, shall be subject to these Terms. You understand and agree that the aforementioned services are provided "AS-IS" and the Association assumes no responsibility for the deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Universe Network service and this access may involve third-party fees, such as Internet service provider fees or airtime charges. You are responsible for all equipment necessary to access the Universe Network service.

Definitions:
The following are definitions of terms that are used in or apply to the information contained herein:
1. "Applicant Harvesting" means the process of obtaining information (personal, employment or otherwise) about a job seeker by using false, fictitious, misleading or alluring job postings to unfairly entice a job seeker to divulge personal, employment or other information that he or she would not divulge if the intent of such a job posting were known by the job seeker.
2. "Content": includes all text, graphics, design and programming used on the Universe Network website.
3. "Design": includes the color combinations and the page layout of the Universe Network website.
4. "Employer" means a person or entity that is accessing the Universe Network site to for any reason related to the purpose of seeking candidates for employment.
5. "Graphics": includes all logos, buttons, and other graphical elements on the Universe Network website, with the exception of paid advertising banners.
6. "Universe Network website": includes www.Universe.jobs in its entirety and its related sites that are operated by the Association, and includes content, text, graphics, design, programming and services as applicable in the context.
7. "Job Seeker" means a user who is accessing the Universe Network website to search for a job or in any other capacity except as an employer.
8. "Materials": refers to any posting to the Universe Network website.
9. "Programming": includes both client-side code (HTML, JavaScript, etc.) and server-side code (Active Server Pages, VBScript, databases, etc.) used on the Universe Network website.
10. "Services" means any services provided on the web by DirectEmployers Association, Inc., or its agents or members, or the Universe Network
11. "Text" includes all text on every page of the Universe Network website, whether editorial, navigational, or instructional.
12. "Third Party" includes any person or entity not directly specified in this Agreement.
13. "User" refers to any individual or entity who uses any aspect of the Universe Network.
14. "You" and "you" means the person who (or the entity on behalf of whom you are acting) that is agreeing to these Terms and Conditions.

General Use Rules for Acceptable Website Use:
The Association's website is intended for professionals seeking to network, individuals seeking employment, and for employers or recruiters seeking candidates for employment. You may use the Universe Network website only for lawful purposes within the stated context of the Association's intended and acceptable use of the website. The Association is the sole interpreter of the website's intended and acceptable use. Your use of the website is a privilege.  The Association reserves the right to suspend or terminate that privilege for any reason at any time, in its sole discretion.

License to Use by Professional and Job Seeking Users:
The Association hereby grants you a non-exclusive, limited, terminable, right to access and use the Universe Network only for your personal use seeking networking and employment opportunities for yourself. This authorizes you to view and download a single copy of the material on the website solely for your personal, noncommercial use.

License to Use by Employers Users:
The Association hereby grants you a limited, terminable, non-exclusive right to access and use the Universe Network only for your internal business use seeking candidates for employment. This authorizes you to view and download a single copy of the material on the website solely for your personal use directly related to using the website for the purpose of searching and recruiting employment prospects. The Association reserves the right to suspend or terminate your access and use at any time if the Association determines that you are in breach of any of these Terms and
Conditions. Applicant harvesting is strictly prohibited.

Other Specific Rules for Acceptable Website Use:
You represent, warrant and agree that you will not use (or plan, encourage or help others to use) the Universe Network for any purpose or in any manner that is prohibited by these Terms and Conditions or by applicable law. It is your responsibility to ensure that your use of the Universe Network complies with these Terms.

Rules for Posting, Conduct and Security:
You agree to comply with the Association's rules for posting, conduct and security on the Universe Network. The Association is the sole interpreter of these rules. Users who violate these rules may have their access and use of the website suspended or terminated, at the Association's discretion. The Association reserves the right to change these rules in accordance with the amendment policy in the Terms. Said rules on posting, conduct and security are as follows:

General:
The Association makes no claims that the Content is appropriate or may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries, and such persons have no right to access or use the Universe Network. If you access the Universe from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. These Terms are governed by the internal substantive laws of the State of Indiana, without respect to its conflict of laws principles. Jurisdiction for any claims arising under these Terms shall lie exclusively with the State or Federal courts in the State of Indiana. You and the Association's sole relationship is that of independent contractors. If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of all or part of a provision shall not affect the validity of the remaining parts and provisions of these Terms, which shall remain in full force and effect. All provisions of these Terms shall survive termination except those granting access or use to the Universe Network, and you shall cease all your use and access thereof immediately. You may not assign or transfer your obligations under these Terms. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided by the Association in a particular legal notice, software license, or material on particular web pages of the Universe Network, these Terms constitute the entire agreement between you and the Association.

The Association will take reasonable care to insure the quality of the Universe Network, however it is under no obligation to monitor the posted materials. The Association may monitor posted materials at random.

You agree that you will not post, email or make available any content or use this Network:
• In a manner that infringes, violates or misappropriates any third party's intellectual property rights or other proprietary rights or contractual rights;
• in a manner that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• to engage in spamming, "chain letters," "pyramid schemes", advertisement of illegal or controlled products or services, “applicant harvesting,” or other advertising or marketing activities that violate these Terms of Service, any applicable laws, regulations or generally-accepted advertising industry guidelines;
• in a manner that is misleading, deceptive or fraudulent or otherwise illegal or promotes illegal activities, including engaging in phishing or otherwise obtaining financial or other personal information in a misleading manner or for fraudulent or misleading purposes;
• in a manner that is libelous or defamatory, or in a way that is otherwise threatening, abusive, violent, harassing, malicious or harmful to any person or entity, or invasive of another's privacy;
• in a manner that is harmful to minors in any way;
• in a manner that is hateful or discriminatory based on race, color, sex, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation or age or is otherwise objectionable;
• to impersonate any other person, or falsely state or otherwise misrepresent your affiliation with any person or entity, or to obtain access to this Network without authorization;
• to interfere or attempt to interfere with the proper working of this Network or prevent others from using this Network, or in a manner that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to this Network, or that otherwise negatively affects other persons' ability to use this Network;
• to use any manual or automated means, including agents, robots, scripts, or spiders, to access or manage any user's account or to monitor or copy this Network or the content contained therein;
• to facilitate the unlawful distribution of copyrighted content;
• in a manner that includes personal or identifying information about another person without that person's explicit consent;
• in a manner that employs misleading email or IP addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through this Network or to users; and
• in a manner that constitutes or contains any form of advertising or solicitation if emailed to users who have requested not to be contacted about other services, products or commercial interests.

• Additionally, you agree not to:
• "Stalk" or otherwise harass anyone;
• Collect, use or disclose data, including personal information, about other users without their consent or for unlawful purposes or in violation of applicable law or regulations;
• Request, solicit or otherwise obtain access to usernames, passwords or other authentication credentials from any member of this Network or to proxy authentication credentials for any member of this Network for the purposes of automating logins to this Network;
• Post any content containing child pornography to this Network;
• Post any content that depicts or contains rape, extreme violence, murder, bestiality, incest, or other similar content;
• Post any content that constitutes pornography, contains nudity, or is adult in nature.
• Use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from this Network - except for Internet search engines (e.g. Google) and non-commercial public archives (e.g. archive.org) that comply with our robots.txt file, or "well-behaved" web services/RSS/Atom clients. We reserve the right to define what we mean by "well-behaved";
• Post irrelevant content, repeatedly post the same or similar content or otherwise impose an unreasonable or disproportionately large load on the Network's infrastructure;
• Attempt to gain unauthorized access to our computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, this Network;
• Use this Network as a generic file hosting service;
• Take any action that may undermine the feedback or ratings systems (such as displaying, importing or exporting feedback information off of this Network or for using it for purposes unrelated to this Network); and
• Develop, invoke, or utilize any code to disrupt, diminish the quality of, interfere with the performance of, or impair the functionality of this Network.

Do not post date of birth, mother's maiden name, first pet's name, first job, first car or favorite team in your public profile. These popular identifiers are commonly used to verify your identity and could allow an imposter electronic access to your accounts.

You agree not to authorize or encourage any third party to use this Network to facilitate any of the foregoing prohibited conduct.

You also agree that these Network Terms of Service inure to the benefit of our service providers (including our Network platform provider) and that they may take action (including the removal of your content and disabling of your account) in order to maintain compliance with these Network Terms of Service.
Technology and hosting for aspects of this Network are provided by this Network's online service provider. However, the Network Creator of this Network controls the content, membership and policy of this Network, including those pages served by such service provider on behalf of this Network. Notwithstanding anything to the contrary, by participating on this Network you agree to indemnify and hold harmless such service provider on all matters related to your interaction with others using this Network and participation with this Network.

Material(s) found to violate the above Rules may be removed at the Association's sole discretion.

Sign-In Credentials:
You agree to: (1) Keep your password secure and confidential; (2) not permit others to use your account; (3) refrain from using other Users’ accounts; (4) refrain from selling, trading, or otherwise transferring your Universe Network account to another party; and (5) refrain from charging anyone for access to any portion of the Universe Network, or any information therein. Further, you are responsible for anything that happens through your account until you close down your account or prove that your account security was compromised due to no fault of your own.

Conduct Rules:
A. You may not respond to postings by other users in any manner or for any purpose other than that which is expected (i.e., to initiate further discussion in a forum or comment on a blog post). Communications soliciting the user’s business are prohibited.
B. You may not send unsolicited commercial email to users.
C. Report inappropriate postings or conduct at: hlep@universe.jobs
D. You may not delete or revise any material posted by any other person or entity.
E. If at any time during the term of this Agreement the Association comes to the understanding that you misled the Association of your business practices and/or services, and/or purchased services that do not represent your precise business, the Association reserves the right to terminate this Agreement and your user privileges immediately.
F. The Association is under no obligation to monitor the conduct of its users, but it may investigate and respond when violations are reported.

Photo Rules:
Photos with any of the following content will be deleted without comment. We also reserve the right to delete any photos, we think are dubious or/and unsuitable for the Universe Network. Please do not email us asking why your photo has been deleted.

General:
• By uploading photos you declare your consent for publication
• No photos to which you do not have the "rights" to use (copyright infringement)
• You are allowing the Universe Network to use the photos uploaded for use of promotion of their online community.
• Photos with pornographic content including photos of nudes, breast shots, bathing suits.
• Any image that is against the law and or which depicts cruelty and or inappropriate behavior.
• The Universe Network reserves the right to delete any photos without comment.
• If you are not sure about your image, please do not post it.

Photos on your Profile Page:
The following photos may not be uploaded:
• Photos that include other people (and/or children). You have to be pictured alone
• Photos with pornographic content incl. photos of nudes, breast shots, bathing suits
• Any image that is against the law and or which depicts cruelty and or inappropriate behavior
• Body without head

Security Rules:
A. Users are prohibited from violating or attempting to violate the security of the Universe Network, including, without limitation:
i. accessing data not intended for such user or logging into a server or account which the user is not authorized to access;
ii. attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

iii. attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Site, or other acts such as "overloading" or "flooding";
iv. sending unsolicited e-mail, including promotions and/or advertising of products or services;
B.Violation of these Security Rules may result in civil or criminal liability. The Association will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

Intellectual Property Rights:
The Universe Network and all right, title and interest in and to the website is the sole property of the Association, Employ Media LLC, or its licensors, and is protected by U.S. copyright and international treaties. Except for the limited licenses expressly granted to you in these Terms, the Association reserves for itself, Employ Media LLC and its licensors all other right, title and interest, without limitation on the foregoing, you may not reproduce, modify, display, sell, or distribute the content, or use it in any other way for public or commercial purpose. This includes copying or adapting the HTML code used to generate web pages on the Universe Network. The Universe design logo and certain other names or logos are service marks or trademarks of the Association, Employ Media LLC, or its licensors and all related product and service names, design marks and slogans are the service marks or trademarks of the Association, Employ Media LLC, or its licensors. In addition, the "look" and "feel" of the Universe Network (including color combinations, button shapes, layout, design and all other graphical elements) are also protected by the Association's, Employ Media LLC’s, or its licensors’ trademarks, service marks and/or copyrights. All other product and service marks contained on the website are the trademarks of their respective owners.

Limitation of the Association's Liability regarding Allocation of Responsibility:
The Association assumes no responsibility for materials posted on the website by a user(s) and no responsibility for the activities, omissions or other conduct of a user(s).

Disclaimer of Endorsements by the Association:
Nothing on the Universe Network shall be considered an endorsement, representation or warranty with respect to any user or third party, whether in regards to its website, products, services, hiring, experience, employment or recruiting practices, or otherwise.

Disclaimer of Guaranty of Results:
The Association is not an employment agency or a recruiting firm, and makes no representations or guarantees regarding the effectiveness or timeliness of the Universe Network in meeting the employment objectives of users (other than specific items agreed to in contracts or agreements with individual employer users). The Association does not guarantee that materials posted on the Universe Network by users will result in candidates being hired or positions being filled, and is not responsible for any employment decisions, for whatever reason made, made by any user.

Disclaimer Errors and Accuracy of Materials Posted to the Website:
The Association makes no representations or guarantees regarding the truthfulness, accuracy, completeness, timeliness or reliability of any materials posted by users, or of any other form of communication engaged in by Users. Materials may contain inaccuracies or typographical errors. You agree that any reliance on materials posted by users, or on any other form of communication with users, will be at your own risk. Further, the Association makes no representations or guarantees regarding the content of the Universe Network, including, but not limited to, broken links, inaccuracies or typographical errors

UNIVERSE WARRANTY DISCLAIMERS:
THE UNIVERSE WEBSITE IS PROVIDED ON AN "AS-IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE ASSOCIATION, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT OF THIRD PARTIES' RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. THE ASSOCIATION MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE WEBSITE. WITHOUT LIMITATION TO THE FOREGOING THE ASSOCIATION DOES NOT WARRANT THAT THE WEBSITE WILL OPERATE ERROR-FREE OR THAT THE SITE AND ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF THE WEBSITE RESULTS DIRECTLY OR INDIRECTLY IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, THE ASSOCIATION IS NOT RESPONSIBLE FOR THOSE COSTS ASSOCIATED WITH SUCH REPLACEMENTS.

ALLOCATIONS OF LIABILITY, EQUITABLE RELIEF AND DAMAGE LIMITATIONS:

IF ANY OF THE AFOREMENTIONED LIMATATIONS ARE HELD INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, THEN THE ASSOCIATION'S MAXIMUM LIABILITY TO YOU FOR ANY DIRECT OR NON-DIRECT TYPE OF DAMAGES SHALL BE LIMITED TO ONE HUNDRED U.S. DOLLARS ($100.00) FOR A "JOBSEEKER" USER IN THE AGGREGATE AND ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT PAID FOR POSTING, WHICHEVER IS GREATER, BY AN "EMPLOYER" USER IN THE AGGREGATE. IN NO EVENT SHALL THE ASSOCIATION (OR ANY OF ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AFFILIATES, AGENTS OR ADVERTISERS), BE LIABLE FOR ANY DIRECT OR NON-DIRECT DAMAGES IN EXCESS IN THE AGGREGATE OF ONE HUNDRED U.S.DOLLARS ($100.00), OR, IF YOU ARE AN EMPLOYER WITH AN AGREEMENT WITH THE ASSOCIATION, THE AMOUNTS ACTUALLY PAID BY YOU TO THE ASSOCIATION UNDER THIS AGREEMENT IF GREATER THAN ONE HUNDRED US DOLLARS ($100.00). DUE TO THE NATURE OF THESE TERMS, IN ADDTION TO MONEY DAMAGES, THE ASSOCIATION WILL BE ENTITLED TO RELIEF UPON A BREACH OF THESE TERMS BY YOU AS A USER.

The Universe Network contains links to third party websites. These links are provided solely as a convenience to you and not as an endorsement by the Association of the contents on such third party websites. The Association is not responsible for the content of linked third party websites and does not make any representations regarding the content or accuracy of materials on such third party websites. If you decide to access linked third party websites, you do so at your own risk.

Amendments to this Agreement and Changes to the Website:
The Association may revise these Terms at any time by updating this page. Changes will be binding on you on the date they are posted on the website (or as otherwise stated in the any notice of such changes). Any use of the website will be considered acceptance by you of the then-current Terms. If at any time you find the Terms unacceptable, you may no longer use the website. Any new or different terms supplied by you are specifically rejected by the Association unless the Association agrees to them in a signed writing specifically including those new or different terms. The Association may make changes to the website at any time.

Indemnity of the Association:
You agree to defend, indemnify, and hold harmless the Association (and its officers, directors, Members, employees and agents) from and against any claims, actions or demands (including, without limitation, costs, damages and reasonable legal and accounting fees) alleging or resulting from or in connection with your use of the website, any Material posted by you, or your breach of these Terms. The Association shall use reasonable efforts to provide prompt notice of any such claim, suit, or proceeding and may assist you, at your expense, in defending any such claim, suit or proceeding.

User Information:
The current Privacy Policy posted on the Universe Network is incorporated in these Terms by reference.

The following Terms of Service apply to your use of The .Jobs Universe Network (hereinafter “the Universe Network"). You are solely responsible for your conduct and your content on the Universe Network and compliance with these terms. By registering with us or using or browsing this Universe Network, you acknowledge that you have read, understood, and agree to be bound by these terms. This Universe Network is not directed to children younger than 13 and is offered only to users 18 years of age or older. Any person who provides their personal information through this Universe Network represents that they are 18 years of age or older.

You agree that you will not post, email or make available any content or use this Universe Network:

• In a manner that infringes, violates or misappropriates any third party's intellectual property rights or other proprietary rights or contractual rights;

• to interfere or attempt to interfere with the proper working of this Universe Network or prevent others from using this Universe Network, or in a manner that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to this Universe Network, or that otherwise negatively affects other persons' ability to use this Universe Network;
• to use any manual or automated means, including agents, robots, scripts, or spiders, to access or manage any user's account or to monitor or copy this Universe Network or the content contained therein;
• to facilitate the unlawful distribution of copyrighted content;
• in a manner that includes personal or identifying information about another person without that person's explicit consent;

• Post any content that constitutes pornography, contains nudity, or is adult in nature.
• Use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from this Universe Network - except for Internet search engines (e.g. Google) and non-commercial
public archives (e.g. archive.org) that comply with our robots.txt file, or "well-behaved" web services/RSS/Atom clients. We reserve the right to define what we mean by "well-behaved";
